Motorola Receives $410 Million Payment Following Completion of Telsim Sale

SCHAUMBURG, Ill., 26 May 2006 – Motorola, Inc. (NYSE: MOT) welcomes the announcement that Vodafone has completed its acquisition of Turkish cellular phone operator, Telsim Mobil Telekomunikasyon (“Telsim").

Following completion of the transaction, Motorola received a cash payment of $410 million pursuant to an agreement previously reached to settle Motorola’s financial and legal claims against Telsim and certain other parties.

Motorola issued the following statement: "We congratulate the Turkish Savings and Deposit Insurance Fund (TMSF) and Vodafone on the successful tender and transfer of Telsim. We appreciate TMSF’s diligent efforts throughout this process to ensure a successful outcome for all parties."

As previously announced, in October 2005, Motorola agreed to settle its financial and legal claims against Telsim and certain other parties for a cash payment of $500 million, which the company received in October 2005, plus the right to receive 20% of the proceeds from the sale of Telsim assets over $2.5 billion.

In connection with the previously announced agreement, Motorola dismissed its litigation against Telsim, as well as its demand for arbitration against the Government of Turkey at the International Centre for the Settlement of Investment Disputes (ICSID) in Washington, D.C. In addition, Motorola agreed not to pursue collection efforts against certain corporate defendants under TMSF control, subject to certain conditions.

Motorola may continue its efforts, except in Turkey and certain other agreed upon countries, to enforce the judgments previously rendered on behalf of Motorola against the Uzan family for perpetrating a massive fraud against Motorola through the Uzan’s prior control of Telsim.

Wateen Telecom-Pakistan Selects Motorola 802.16e WiMAX Solution For Nationwide Network Deployment

Contracts include integration and deployment services, IMS Core and MOTOwi4™ WiMAX solutions

VIENNA, Austria – WiMAX World Europe – May 23 2006 – Motorola, Inc. (NYSE:MOT) today announced that it has been selected as primary supplier to Wateen Telecom, part of Warid Telecom International, to plan, design and deploy a nationwide wireless broadband voice and data network in Pakistan, with initial deployment to be completed by the second half of 2006. The Motorola solutions and integration services are the first step for Wateen to make Broadband Pakistan a reality and usher in a digital revolution, providing the access network, subscriber units, IP Multimedia Subsystem (IMS) core and services to quickly and cost-effectively connect the unconnected.

The 802.16e-based MOTOwi4 WiMAX access network and subscriber units will enable Wateen Telecom to offer broadband data services covering residential and corporate voice, Internet access, corporate IP virtual private network (VPN) and public hotspots.

Motorola Unveils Second 802.16e WiMAX Solution with Live Demonstration Featuring Third-Party Interoperability at WiMAX World Europe

Carrier-class WiMAX solution delivers rich-media downloads and video streaming to laptop via PC card

(NYSE:MOT) continues to show its WiMAX leadership with the latest addition to its MOTOwi4™ portfolio of wireless broadband solutions. At WiMAX World Europe, Motorola’s new carrier-class WiMAX network will be used to perform rich media downloads and video streaming through a laptop PC using a third-party PCMCIA card that incorporates an 802.16e chip from Beceem Communications.

This is Motorola’s first public demonstration of third-party interoperability of its WiMAX products and shows how Motorola’s MOTOwi4 wireless broadband solutions can help people stay seamlessly connected wherever they may be. At its booth #202 Motorola also will be featuring live demonstrations of its 802.16e-based Ultra Light Access Point for 3.5 GHz fixed applications, Canopy® solutions in 5 GHz spectrum, and IP video telephony all connected through an IMS core.

The Motorola carrier-class WiMAX network, supporting both 2.5 GHz and 3.5 GHz, is an 802.16e solution that uses advanced antenna techniques to provide greater coverage range and building penetration. Tucson Electric Power Selects Motorola to Upgrade Radio Communications System

New Project 25 system will provide interoperability with local and state public safety agencies

SCHAUMBURG, Ill. – 22 May 2006 – Tucson Electric Power (TEP) has selected Motorola, Inc. (NYSE: MOT) to install a new Project 25 radio communications system. The first P25 system to be deployed by a utility in the Western United States, the ASTRO digital trunked two-way radio system, will position TEP for future interoperability with state and local public safety agencies.

“Hurricane Katrina put a spotlight on the importance of communications between utilities and public safety agencies,” said Steven J. Glaser, senior vice president and chief operating officer, Transmission and Distribution, TEP. “Utility crews are often the first emergency responders at the scene of a disaster and their ability to communicate and coordinate with various public safety agencies and even other utilities is highly beneficial in restoring service safely.”

Project 25 is the national interoperability standard for digital radio systems. Several municipalities in Arizona have implemented Project 25 compliant systems including Phoenix, Mesa, Glendale, Yuma and Marana.

TEP’s service territory covers 1,155 square miles and serves more than 380,000 customers. The new TEP system will be implemented in two phases. Initial work will include the upgrade of existing dispatch consoles. The second phase is expected to be concluded by year-end and will fully upgrade its existing Motorola 7-channel SmartWorks trunked radio system to a Motorola ASTRO 7X system.

“As Arizona communities and the state continue to transition to P25 communications systems, we’ll have the ability to immediately communicate with all local and state users and neighbouring utilities in the event of an emergency,” said Glaser. “The new system also ensures we’ll have the flexibility and scalability to meet the needs of our growing community well into the future.”

Xcel Energy Selects Motorola for New Radio Systems in Key Service Territories

SCHAUMBURG, Ill. - 22 May 2006 - Motorola, Inc. (NYSE:MOT) has been selected by Xcel Energy to design and install three wireless trunked radio networks covering service territories in Minneapolis/St. Paul, West Texas, and the Denver/Boulder area, representing a coverage area of approximately 56,000 square miles. The new multi-million dollar systems will enhance Xcel Energy’s current private radio system capabilities, help increase operational efficiencies, and help improve internal interoperability.

Critical infrastructure components of Xcel Energy’s Minneapolis/St.Paul eight site, 800 MHz analogue SMARTNET Simulcast trunked network system will be upgraded and enhanced with leading dispatch, simulcast and system control equipment designed to improve system performance and reliability.

In West Texas, the company’s existing system will be upgraded to Motorola's ASTRO® 25 SmartZone® digital trunking solution, operating in the 800 MHz frequency band and utilizing Motorola's newest Frequency Division Multiple Access (FDMA) narrowband 12.5 kHz digital trunked network technology. The new system will consist of 31 sites and utilize 600 XTL 2500 mobile subscribers and 150 XTS 2500 portables.

In the Denver/Boulder service area, Motorola will upgrade the existing radio system to an ASTRO 25 digital Simulcast system designed to provide coverage to seven sites and the entire Denver/Boulder metropolitan area. The new system will support 688 XTL 2500 mobile subscribers and 470 XTS 2500 portable radios.

“The ASTRO 25 platform will deliver numerous operational efficiencies along with critical communications interoperability across the company, which is an increasingly important capability in the event of a natural disaster or emergency,” said Carlson.

The system will be implemented in three phases beginning in May of 2006.

Comcast to Offer Customers New Motorola Voice-Enabled Cable Modem with Battery Backup

HORSHAM, Pa. – 22 May 2006 – Motorola, Inc. (NYSE: MOT) today announced that Comcast will place an order for the Motorola SBV5220, a combination modem and phone adapter, also known as an embedded Multimedia Terminal Adapter (eMTA), located in customers’ homes. This order comes after the SBV5220 successfully completed an extensive hardware and software qualification process.

The Motorola SBV5220 is equipped with an integrated Lithium-ion battery back-up, which provides up to eight hours of battery back-up in the event of a power outage in the home. Comcast expects to offer the Motorola eMTA in the second half of 2006 to Comcast Digital Voice customers nationwide.

Part of Motorola’s expansive portfolio of telephony products, the SBV5220 serves as a single device connecting customers to their digital voice and high-speed Internet services. The SBV5220 can power up to two phone lines in the home using standard RJ-11 connectors. The eMTA can connect to a computer through either a 10/100Base-T Ethernet or a USB data port.

An esteemed panel of judges featuring executives from Cingular, Electronic Arts, Fierce Wireless, Handango, Motorola and Sprint, evaluated each application and convened to select the winners.

Grand prize winners received a portfolio of devices -- including Motorola RAZR, PEBL, SLVR, ROKR E2, A1200 and i870-- in a special edition case, a cash prize and most importantly, a shot at making their application commercially available through business and promotional opportunities.
